These Terms & Conditions ("Terms") form a binding agreement between you and ARLU LLC DBA LoanSheet, a Florida limited liability company with its registered address at 161 SE 7th St, Pompano Beach, FL 33060, USA ("LoanSheet", "we", "us", "our"), governing your access to and use of the LoanSheet website, applications, and related services (the "Service").
1. Acceptance
By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. You must be of legal age to enter into a contract.
2. The Service
LoanSheet provides tools for mortgage brokers and lending professionals to build loan quotes, term sheets, and borrower-facing presentations. Features and plans may change over time.
3. Account and credentials
You must provide accurate information, keep it up to date, and safeguard your login credentials. You are responsible for activity under your account.
4. Acceptable use
You must not misuse the Service, including by:
- Using it in violation of any law or third-party rights;
- Engaging in fraud, spam, or misleading practices;
- Infringing intellectual property rights;
- Introducing malware, probing, scanning, scraping, or otherwise interfering with the security or integrity of the Service.
5. Intellectual property
LoanSheet and its licensors retain all right, title, and interest in the Service, including software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service within your paid plan. You may not reverse engineer, resell, redistribute, or circumvent technical limits.
6. Your content
You retain ownership of content you upload (borrower data, branding, notes, etc.). You grant us a limited license to host and process it solely to provide the Service.
7. Payment, subscriptions, taxes, refunds — Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Payment, billing, subscription renewal, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. See also our Refund Policy.
8. Service availability
We work to keep the Service reliable but do not guarantee uninterrupted or error-free performance. Scheduled maintenance and unplanned downtime may occur.
9. Suspension and termination
We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may cancel your subscription at any time via Paddle.
10. Warranties and disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service will not exceed the fees you paid us in the 12 months preceding the claim. We will not be liable for indirect, consequential, or special damages (including loss of profits, revenue, data, or goodwill). Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is prohibited.
12. Indemnification
You will indemnify ARLU LLC DBA LoanSheet against third-party claims arising from your content, your unlawful use of the Service, or your breach of these Terms.
13. Consequences of termination
On termination your access ends. We may retain data as required by law and provide a reasonable window to export your data where feasible.
14. Governing law and disputes
These Terms are governed by the laws of the seller's jurisdiction, without regard to conflict-of-laws rules. Disputes will be resolved in the competent courts of that jurisdiction, unless mandatory law provides otherwise.
15. Assignment
You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
16. Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control.
17. Changes
We may update these Terms. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.
